In consideration of the compromise between the First Party and Second Party, the First Party hereby agrees and undertakes:
i) not to advice, counsel, consult or give guidance directly or indirectly, for profit or otherwise, to any client of the Second Party regarding any transaction/operation/business of that client with the Second Party which was initiated during the period when the First Party was under the employment of the Second Party.
ii) not to divulge any information with regard to information which the First Party became aware of in his capacity as managing director of the Second Party, the disclosure of which in the opinion of the Second Party would be injurious and prejudicial to the interest of the Second Party; and
iii) not to provide any data, documents or papers to any client of the Second Party directly or indirectly, the disclosure of which in the opinion of the Second Party would be injurious and prejudicial to the interest of the Second Party.
IN WITNESS WHEREOF, THE FIRST PARTY EXECUTES THIS UNDERTAKING ON THE ______ DAY OF ____________________, 2007.
