Indemnity for Payment to Person with Disputed Title
THIS DEED OF INDEMNITY is made on the . . . . . day of . . . . . . . BETWEEN A. B. etc. (hereinafter called ‘‘the Landlord’’) of the one part AND C. D. etc. (hereinafter called ‘‘the Tenant’’) of the other part;
WHEREAS a dispute (or a suit) is now pending between the Landlord and certain other persons as the title to the . . . . . . . . (describe the property) which is now occupied (or held) by the Tenant (or, to the estate of one X. Y., in which the Tenant holds certain land) under a lease thereof dated . . . . . . . . . . .executed by . . . . . . . .;
AND WHEREAS the Tenant has nevertheless agreed to pay to the Landlord the rent of the said . . . . . . . . which is now in arrears and which shall hereafter become due upon the Landlord agreeing to indemnify him in respect thereof;
NOW THIS DEED WITNESSES that in consideration of the Tenant agreeing to pay the said rent to him the Landlord hereby covenants with the Tenant that the Landlord will repay on demand to the Tenant all such rent, sums of money, costs and damages as the Tenant or his assigns shall by due process of law or otherwise be compelled to pay and all costs and damages which he or they shall otherwise sustain by reason of his or their paying the said rent or any part thereof to the Landlord in the manner aforesaid.
