Description of POA                  : Being no. 10253 dated 08.08.2005,

registered with the Keranigonj Sub-   Registry Office of Dhaka.

7.        Chain of ownership of the property for at least 25 years:

WHEREAS, Mr. Ramanath Gosh acquired the scheduled land along with other land by way of purchase from Shree Chandra Mohon Mridha, Surobala Dassha & Nibaron Chandra Mridha through different Saf Kabala Deed Nos. 2237 dated 21.04.1954, which was recorded in the Book No. 1, Volume No. 26, Page No. 158 to 160 & Saf Kabala Deed No. 4757 dated 01.08.1956, which was recorded in the Book No. 1, Volume No. 61, Page No. 103 to 104, registered with the Sadar Joint Sub-Registry Office of Dhaka, respectively. Subsequently the name of said Mr. Ramanath Gosh was duly recorded in the C. S., S. A. & R. S. operation. Thereafter the said Mr. Ramanath Gosh gifted the land measuring 1 acre 02 decimals in favour of his son Shree Kalikrishno Gosh by dint of Dan Patra Dolil No. 628 dated 23.02.1981, which was recorded in the Book No. 1, Volume No. 9, Page No. 211 to 214, registered with the Keranigonj Sub-Registry Office of Dhaka. Afterwards the said Shree Kalikrishno Gosh sold the land measuring 1 acre 02 decimals in favour of his father Mr. Ramanath Gosh by virtue of Saf Kabala Deed No. 7980 dated 03.04.1985, which was recorded in the Book No. 1, Volume No. 38, Page No. 233 to 236, registered with the District Sub-Registry Office of Dhaka. Thereafter the said Mr. Ramanath Gosh gifted the land measuring 1 acre 02 decimals in favour of his son Shree Desh Bandhu Gosh by dint of Dan Patra Dolil No. 8237 dated 06.04.1985, which was recorded in the Book No. 1, Volume No. 185, Page No. 188 to 192, registered with the Sadar Sub-Registry Office of Dhaka. Thereafter the said Shree Desh Bandhu Gosh sold the scheduled land measuring 41 (forty one) decimals in favour of Hazi A through a Saf Kabala Deed No. 111 dated 08.01.2003, registered with the Keranigonj Sub-Registry Office of Dhaka, which was recorded in the Book No. 1, Volume No. 9, Page No. 107 to 114.

AND WHEREAS, Hazi A has become the owner of the scheduled property and got mutated the same by his name in the Govt. Revenue Record vide Mutation Case No. 2140/03-04 dated 12.02.2003 and paying ground rent thereof.

AND WHEREAS, then the said Hazi A created mortgage on the scheduled land in favour of Shahjalal Islami Bank Limited, Mitford Branch, Dhaka by executing a registered Deed of Mortgage being No. 10252 dated 08.08.2005 and at the same time they also executed a Power of Attorney in favour of the said bank empowering it to sell the said land vide a registered Power of Attorney No. 10253 dated 08.08.2005. But subsequently on failure of the Borrower to repay the investment facility the said Shahjalal Islami Bank Limited called tender for disposing of the property through auction as per Artha Rin Adalat Ain 2003, under Section 12 (3), which was published two daily News Papers namely The Daily Bhorer Kagaj & The Daily Sangbad on 28.10.2009 subsequently it was amended on 29.10.2009, wherein (i) Mr. Md. X, (ii) Mr. Y & (iii) Mr.  Z were selected as highest bidder for buying the property published and accordingly the said mortgaged property was taken under control of the Bank. After deposition requisite auction price, taxes, vat etc. the said Mr. Md. X, Mr. Y & Mr.  Z requested the Bank for handed over the possession of the scheduled property in favour of the said owners Mr. Md. X, Mr. Y & Mr.  Z.

AND WHEREAS, the SELLER is now in need of adjust all overdue & outstanding and has therefore decided to sell the Scheduled Property through his aforesaid ATTORNEY to any purchaser offering the best market price.

AND WHEREAS, Mr. Md. X, Mr. Y & Mr. Z, i.e. the PURCHASERS, have intended to purchase the Scheduled Property and have offered an amount of Tk.36,50,000/- (Taka thirty six lac fifty thousand) only as consideration value/price of the Scheduled Property, on condition that the Scheduled Property is absolutely free from any mortgage, charge and all other encumbrances;

AND WHEREAS the ATTORNEY, on behalf of the SELLER, accepted the said offer of the PURCHASERS and agreed to sell the Scheduled Property to the PURCHASERS being the highest market price;

AND WHEREAS the PURCHASERS have paid the consideration price of the Scheduled Property amounting Tk.36,50,000/- (Taka thirty six lac fifty thousand) only to the ATTORNEY and the ATTORNEY on behalf of the SELLER received the said consideration price and hereby acknowledges receipt thereof.

NOW THIS INDENTURE OF SALE WITNESSETH that in consideration of payment of the full agreed amount of Tk.36,50,000/- (Taka thirty six lac fifty thousand) only by the PURCHASERS to the ATTORNEY, who, on behalf of the SELLER admitting and acknowledging receipt of the total sum of amount of Tk.36,50,000/- (Taka thirty six lac fifty thousand) only by execution of this DEED OF SALE do hereby of the SELLER free will and accord to sell, alienate, grant, transfer, convey and dispose of the Scheduled Property absolutely free from all encumbrances UNTO THE PURCHASERS alongwith the appurtenances, appendages, rights, liberties, privileges, rights of easements, adverse title appertaining thereto; are equally applicable on the PURCHASERS and  the PURCHASERS therefore bind their self under the terms and conditions of the same regarding
