Re:      Legal Opinion on draft Deed of Sale

We refer to your letter dated 26.05.2004 on the above subject.

Pursuant to your request, we have perused the draft Deed of Sale to be executed between Mrs. A through her constituted attorney COMPANY 1 and Mr. X & Mr. Y.

Our comments on the draft Deed of Sale is as follows:

1.                  From the Deed of Agreement for Sale dated 21.08.2000, it appears that you have agreed to purchase Apartment No. B-1

However, the Schedule to the Deed of Sale refers to East Side of the building and car park including common space.

We, therefore, suggest that in line 2 of the Schedule to the Deed of Sale, “1st floor East Side of the building, and car park including common space” be replaced by “1st floor South East Side of the building and two car parking space including common space”.

Accordingly, in page 4, paragraph 4, lines 4 and 5 and in page 6, line 1 of the Deed of Sale, please replace “1st floor East Side of the Building, and car park and common space….” by “1st floor South East Side of the building and two car parking space including common space”.

2.                  The Road Number of the property has not been inserted in the Schedule to the Deed of Sale. We, therefore, suggest that in line 6 of the Schedule to the Deed of Sale, after “Block – CEN (A)” the words “Road No. 96” be inserted.

3.                  Please note that in the Deed of Agreement for Sale, it is stated that the apartment consisting of entrance foyer, drawing, dining, family living, 4 bedrooms, baths, kitchen, balconies, one maid’s room with toilet shall be of 2950 sft gross share of covered floor area of the building.

However, in the Schedule to the Deed of Sale, it is stated that the Apartment measures 2804 sft. Please check.

4.         From the Memo dated 26.04.2004 of COMPANY 2, it appears that COMPANY 2 has given permission to transfer Apartment No. B-1 situated at the Western Side of the 1st Floor. However, you have agreed to purchase Apartment No. B-1 on the South East Side of 1st Floor. Please check.

Subject to the above observations, the contents of the draft Deed of Sale are otherwise in order.
