RE: Legal Opinion regarding formation of a Joint Venture Partnership namely Company 1, opening and operation of their CD Account.

We refer to your letter dated 03 September 2006 on the above subject.

In your letter you have referred to COMPANY 1as a company. But on perusal of the provided documents (i.e. the trade licence and the resolution of COMPANY 1held on August 20, 2006) it is clear to us that COMPANY 1is in fact not a company but a partnership between COMPANY 2 and COMPANY 3 and COMPANY 4.

In these circumstances, in order to give our legal opinion, we need to know whether or not COMPANY 1 has been registered as a partnership with the Registrar of Joint Stock Companies and Firm. Please contact COMPANY 1 and find out whether it has been registered accordingly and if registered COMPANY 1 should be asked to provide copies of documents relevant to the registration.
