RE: VETTING OF PROPERTY DOCUMENTS IN RELATION TO THE PROPOSED Bank 1 AND DRAFTING OF LEASE AGREEMENT.

We refer to your letter dated April 22, 2007 on the above subject.

In your letter, you have not mentioned from whom you are renting the 4500 sq. ft. on the 1st floor and the 100 sq. ft on the ground floor in the premises in Elephant Road – from Mr. X and Mr. Yor from Globe Constructions Ltd., the developer. You are requested to inform us as to who is the potential Lessor.

Please note that, if Mr. X and Mr. Yare the potential Lessors, then the Bank should be aware of the fact that, according to the Deed of Agreement dated 22.10.2006, they are entitled to 15 shops in the ground floor, the entire 1st floor, the entire 2nd floor, “D” type flat in the 5th floor, “A” type flat in the 6th floor, “C and B” type flat in the 7th floor and 35% of the car parking space as their 35%. However, according to clause 5 of this Deed of Agreement, the 15 shops on the ground floor has already been sold by Globe Constructions Ltd. on behalf of Mr. X and Mr. Y. Therefore, how shall the Bank be able to rent 100 sq. ft. on the ground floor for the ATM Booth? Please check the matter. And clarify the same to us.

You have also not sent a copy of the Deed of Agreement dated 14.07.2000 executed between Mr. X and Mr. Y and Globe Constructions Limited. You are requested to sent us a copy of the same to us.

After receiving the above mentioned information and documents, we shall be able to vet the property documents and draft the lease agreement.
