THIS DEED OF LICENCE is made the . . . . . . . . . . . day of . . . . . . . . . . . , 20 , BETWEEN A.B . . . . . . . . . . . ., etc. (hereinafter called ‘‘the Licenser’’) of the one part and C.D. . . . . . . . .etc. and E.F. . . . . . . . . . . ., etc. (hereinafter called ‘‘the Licensees’’) of the other part.

WHEREAS by a lease deed dated . . . . . . . . . . . the said A.B. granted a lease of his shop No. 1, on the . . . . . . . . . . . Road in the city of . . . . . . . . . . ., to the said C.D.;

AND WHEREAS by another lease deed dated . . . . . . . . . . . the said A.B. granted a lease of the adjoining shop No. 2 to the said E.F.;

AND WHEREAS the said C.D. and E.F. have by a deed of Partnership, dated . . . . . . . . . . ., (a copy whereof, certified true by the said C.D. and E.F., has been furnished to A.B.), whereby the said C.D. and E.F. have amalgamated their business and the amalgamated business has been named and styled . . . . . . . . . . .;

AND WHEREAS for the successful operation of the said partnership the parties in their individual capacities approached the said A.B. with the request to allow them to pull down the partition wall between the said Shops Nos. 1 and 2 in their individual possession and tenancy.

NOW THEREFORE THIS LICENCE is granted to the said C.D. and E.F. in consideration of their paying a sum of Rupees . . . . . . . . . . . (Rs . . . . . . . . . . .) only per month during the subsistence of the said licence on the terms following:

1. That the said C.D. and E.F. may break down the partition wall existing between the aforesaid two shops and use the two shops hitherto separate as one large shop as may be required for the purpose of their amalgamated business for a period of two years from the date hereof or a lesser period if the tenancy of any one of the tenants is determined sooner.

2. That the sum of Rupees . . . . . . . . . . . being the consideration money of this licence shall be payable in advance by the aforesaid C.D. and E.F. with the rent on the first of every month for the period of the licence and for which C.D. and E.F. shall be jointly and severally liable. On non-payment thereof the Licenser may realise the same as arrears of rent from C.D., E.F. and the said . . . . . ,jointly or severally.

3. That the licence shall be irrevocable for a period of two years and may be enjoyed by C.D. and E.F. or any other partner admitted to the partnership of . . . . . . . . . . .

4. That on the expiration of two years or the sooner determination of the tenancy the said C.D. and E.F. and any other partner of . . . . . . . . . . be liable to restore the two shops in the original condition by building, plastering and whitewashing the partition wall of the same thickness and quality as is now in existence.

5. That save and as provided by this deed the terms of the original lease continue to govern the relation of the parties and no change in the constitution or any addition in the partners of . . . . . . . . . . . will affect the contractual or legal obligation of the tenants and the landlord.
