RE:     Vetting of documents for the issuance of Securitized Zero Coupon Bonds by Company 1.

We refer to the above subject.

You have provided the following documents for our vetting, along with your sanction letter dated November 10, 2007:

  • Deed of Trust
  • Subscription Agreement

The above documents were vetted by us pursuant to the instruction given to us by Company 1. From perusal of the documents it appears that our suggested changes have been made by Company 1.

The above documents shall protect the interest of Bank 1, a subscriber of the Securitized Zero Coupon Bonds of Company 1 in accordance to the terms therein. Nevertheless, please check all commercial terms and conditions.

All documents referred to us are returned herewith.
